Perpetua Terms and Conditions of Use
Beta version · Last updated: [publication date]
1. Who we are and what you accept
Perpetua (the "Service") is an analytics platform operated by EFGOT LABS, S.A.S. (owner of the «Perpetua Labs» brand; tax ID (RFC) [RFC]), with address at [address], in Guadalajara, Jalisco, Mexico ("Perpetua Labs", "we").
By creating an account or using the Service you accept these Terms and our Privacy Notice. If you do not agree, do not use the Service.
2. What Perpetua is, and what it is not
Perpetua gathers, normalizes and presents public data from perpetual futures (perps) markets on decentralized exchanges (perp DEXs) to help you analyze delta-neutral strategies: route screening, a cost calculator, tracking of positions that you log, alerts, a radar and educational content.
Perpetua does not:
- execute trades or send orders to any exchange;
- custody funds, assets or private keys;
- connect to your wallet or request access to it;
- recommend buying, selling, entering or exiting any position;
- provide investment, financial, legal or tax advice.
Everything you see in Perpetua is information, not a recommendation. Alerts describe market conditions; they never tell you what to do. You decide and execute, on your own account and at your own responsibility, on the third-party platforms you choose.
3. Risks you acknowledge
Trading perps and crypto-assets carries high risks, including the total loss of your capital. Among others:
- Delta neutral is not risk-free. One leg can be liquidated, funding can flip sign, costs can exceed what you collect, and a venue can fail, pause withdrawals or disappear.
- Past performance does not guarantee future results. APRs, recovery days and projections are estimates based on historical data and on assumptions that are shown in the product.
- Estimated costs. Fees, spread, slippage and capacity are computed from measured data and, where there is no data, from estimates labeled as such. The real cost of your execution may differ.
- Venue risk. The exchanges Perpetua shows are third parties. We do not control them and are not responsible for their operation, solvency or rules.
- Regulatory risk. It is your responsibility to verify that trading perps or crypto-assets is legal where you live.
4. Third-party data and its accuracy
Data comes from each venue's public APIs and is processed automatically. It may contain errors, delays, gaps or changes in the venue's own methodology. Perpetua shows the age of the data and displays "—" when it has none, but we do not guarantee that the information is accurate, complete or current. Before trading, verify any figure directly on the venue.
5. Your account
- You must be at least 18 years old and have the legal capacity to accept these Terms.
- You register with your email address. You are responsible for keeping access to that email and for your account's activity.
- The information you log (positions, costs, alerts, notes) is yours. You are responsible for its accuracy; Perpetua uses it to perform the calculations you request.
- You can delete your account at any time from Account → Delete account.
6. Plans, payments and cancellation
- Perpetua offers a Free plan and a Pro plan with monthly or annual billing. Each plan's features and limits are shown in Account → Compare.
- Payments are processed by Stripe. Perpetua does not receive or store your full card details.
- Prices are in US dollars (USD) [plus any applicable taxes].
- The subscription renews automatically at the end of each period until you cancel. You can cancel from Account → Billing; you keep Pro until the end of the paid period and then return to Free without losing your data.
- Refunds: periods already started are non-refundable, except for a billing error or as required by applicable law.
- Tax receipts: [pending; for now, Stripe issues a receipt for each charge].
- We may change prices or limits with at least 30 days' prior notice; the change applies from your next renewal.
7. Beta
While the Service is in beta, it may have bugs, frequent changes or interruptions, and some features may be offered free of charge temporarily. We ask you to report problems through the feedback channel. We may end the beta or change its conditions at any time.
8. Acceptable use
You may not:
- extract data in an automated way (scraping, bots, mass requests) or resell or redistribute Perpetua's data or calculations;
- attempt to access accounts, data or systems that are not yours, or circumvent your plan's limits;
- interfere with the operation of the Service or its infrastructure;
- use the Service for unlawful activities, including money laundering or sanctions evasion;
- impersonate Perpetua or use our brand without authorization.
We may suspend or close accounts that breach these Terms.
9. Intellectual property
Perpetua's software, design, brand, texts, educational content and calculations are the property of Perpetua Labs or its licensors. We grant you a personal, limited, non-exclusive and non-transferable license to use the Service in accordance with these Terms. The venues' names and brands belong to their owners and are used only to identify them.
10. Limitation of liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available", without warranties of any kind.
- Perpetua Labs is not liable for trading losses, liquidations, missed opportunities, third-party failures (venues, wallets, blockchain networks, infrastructure providers) or for decisions you make based on the Service's information.
- Our total liability to you for any claim is limited to the amount you have paid us in the 12 months before the event giving rise to it.
None of this limits the rights your country's law grants you as a consumer and that cannot be waived.
11. Changes to these Terms
We may update these Terms. If the change is significant, we will notify you in the app or by email with reasonable advance notice. If you keep using the Service after the effective date, you accept the new version.
12. Governing law and jurisdiction
These Terms are governed by the laws of the United Mexican States (Mexico). For any dispute, the parties submit to the competent courts of Guadalajara, Jalisco, [unless the applicable consumer-protection law provides otherwise].
